이용약관

귀하와 에스토니아 탈린 Aia tn 10a-9, 10111에 등록 사무소를 둔 Modash OÜ(“Modash”) 간의 본 약관은 Modash가 Modash.io(통칭 “사이트”)를 통해 제공하는 콘텐츠, 보고서, 문서, 제품 및 온라인 서비스(Modash Payments 및 Modash API Services 포함, 통칭 “서비스”)에 대한 귀하의 접근 및 이용에 관한 서비스 이용 약관(“약관”)을 규정합니다. 본 약관은 사이트 및 서비스 이용에 적용되므로 주의 깊게 읽어 주시기 바랍니다.

본 약관에 명시된 모든 조건은 귀하가 수정하지 않은 채 적용되며, 귀하와 Modash 간 법적 구속력이 있는 계약(이하 “계약”)을 구성합니다. 사이트 및/또는 서비스를 이용하거나 접근함으로써, 귀하는 본인 또는 귀하가 대표하는 법인을 대신하여 본 약관을 이해하고 준수하는 데 동의합니다. 귀하가 법인을 대신하여 본 약관을 체결하는 경우, 귀하는 해당 법인 및 그 계열사를 본 약관에 구속할 권한이 있음을 진술합니다. 이 경우 “귀하” 또는 “귀하의”는 해당 법인 및 그 계열사를 의미합니다. 동의하지 않는 경우 사이트 및 서비스를 이용하거나 접근할 수 없습니다.

Modash는 귀하에게 사전 통지 없이 수시로 본 약관을 개정, 수정 또는 변경할 수 있습니다. 귀하는 변경 사항을 확인하기 위해 본 이용약관을 정기적으로 검토할 책임이 귀하에게 있음을 인정하고 동의합니다. 귀하는 해당 변경의 시행일 이후 서비스를 계속 이용하는 것은 개정, 수정 또는 변경된 약관에 동의하는 것으로 간주됨에 동의합니다. 변경 사항에 동의하지 않는 경우 서비스 이용을 중단해야 합니다. Modash는 모든 활성 고객에게 이용약관 변경 사항을 알리는 이메일을 발송합니다. 이메일에는 주요 업데이트 요약 및 개정된 약관을 검토할 수 있는 링크가 포함됩니다.

3.1. Modash는 귀하에게 사이트 및 서비스를 이용할 수 있는 제한적, 비독점적, 개인적이며 이전 또는 양도할 수 없는 권한을 부여합니다. API 구독의 경우, 이 라이선스에는 구독 한도 내에서 Modash Data를 포함하는 파생 제품, 통합 또는 서비스를 구축하고 배포할 권리가 포함됩니다. 모든 이용 제한은 제9조(금지된 이용)에 명시되어 있으며, 이는 이전에 여기에 언급된 상충하는 조건에 우선합니다. Modash Payments 및 Modash API Services를 포함한 일부 서비스는 요청 시 제공되며 Modash만 활성화할 수 있습니다.

3.2. Modash API 서비스 액세스 & 라이선스. Modash는 사용자가 크리에이터 데이터 및 기타 플랫폼 기능에 프로그래밍 방식으로 접근할 수 있는 API를 제공합니다. API 접근에는 본 약관이 적용되며, 유효한 API 구독 또는 별도 계약이 필요합니다. API 기술 지원은 Modash의 표준 API 지원 정책에 따라 제공됩니다.

4.1. 귀하는 Modash가 사전 통지 없이 언제든지 서비스의 모든 측면을 수정, 종료, 중단 또는 기타 방식으로 조정할 수 있음을 이해하고 동의합니다. API 고객의 경우, Modash는 통합에 영향을 줄 수 있는 API 엔드포인트의 중대한 변경 또는 지원 중단에 대해 (60일) 합리적인 사전 통지를 제공합니다. API를 계속 이용하려면 업데이트된 API 정책 및 기술 변경 사항을 준수해야 합니다. Modash는 API에 대한 중단 없는 접근을 보장하지 않습니다.

4.2. Modash는 (a) 예정된 중단(앱 내 배너 등 전자적 방식으로 48시간 전에 통지하기 위해 합리적인 노력을 기울임) 및 (b) 불가항력으로 인한 이용 불가를 제외하고, 하루 24시간, 주 7일 Modash 서비스 및 사이트를 제공하기 위해 상업적으로 합리적인 노력을 기울입니다.

4.3. Modash는 표준 관행에 따라 합리적인 기술 지원을 제공하며, 정규 영업일에 Modash 서비스 또는 사이트 접근을 방해하는 지원 문의 또는 문제에 대해 48시간 이내 응답을 보장합니다.

4.4. 귀하는 Modash가 미납 또는 기타 중대한 약관 위반 시 서비스 접근을 차단할 수 있으며, 제11조(종료)에 따라 Modash 사이트 또는 서비스에 포함된 귀하의 파일이나 기타 콘텐츠에 접근하지 못할 수 있음을 인정하고 동의합니다.

4.5. 귀하는 한 사람당 하나의 계정만 사용할 수 있음을 인정하고 동의합니다. 집행 세부 사항은 제9.20조에 명시되어 있습니다.

등록 과정에서 귀하는 이름, 사업체명, 주소, 전화번호, 신용카드, 이메일 주소를 포함하되 이에 국한되지 않는 특정 정보를 제공해야 할 수 있습니다. 귀하는 Modash에 제공하는 모든 등록 정보가 항상 정확하고 최신 상태임에 동의합니다. 귀하는 Modash 사이트 및 서비스의 토큰, 키 또는 비밀번호를 무단 접근으로부터 보호할 책임이 있습니다. 귀하의 토큰, 키 또는 비밀번호로 이루어지는 모든 활동에 대해 귀하가 책임을 집니다. 귀하는 자신의 토큰, 키 또는 비밀번호와 관련되거나 이를 통해 발생하는 모든 활동에 대해 전적으로 책임을 집니다. 귀하는 토큰, 키, 비밀번호의 무단 사용 또는 기타 보안 침해를 즉시 Modash에 통지하는 데 동의합니다. Modash는 기술 또는 청구 문제에 대한 지원을 제공하거나 서비스를 유지 또는 개선하기 위해 수시로 귀하의 토큰, 키 및 비밀번호에 접근할 수 있습니다.

6.1. 귀하는 사이트 및 서비스를 사용하여 취득한 개인의 개인정보를 처리할 때 EU 일반 개인정보 보호 규정 및 영국 일반 개인정보 보호 규정(통칭 "GDPR")을 포함한 데이터 보호법상 개인정보처리자가 될 수 있음을 인정합니다. ISO/IEC 27001 인증을 포함한 당사의 데이터 보호 및 정보 보안 관행에 관한 정보는 개인정보 처리방침에 설명되어 있습니다.

6.2. 관련 데이터 보호법에 따라 Modash가 처리자로서 고객을 대신해 개인정보를 처리하는 범위에서 Modash 데이터 처리 계약("DPA")은 참조로 본 계약에 편입되며 본 계약의 일부를 구성합니다. 데이터 보호 관련 사항에서 본 계약과 DPA가 충돌하는 경우 DPA가 우선합니다.

6.3. If GDPR applies to you, you hereby acknowledge that as between you and Modash (each a “Party” and together the “Parties”):

(1) each Party is an independent controller for the purposes of the GDPR in relation to personal data that Modash (a) obtains from you to administer the Services, including to carry out billing and collections, and (b) obtains from third party sources and provides to you through the Site and the Services (the “Creator Data”);

(2) the Parties do not jointly determine the purposes and means of processing Creator Data and do not act as joint controllers.

6.4. Subject to Section 6.2, you agree that in relation to personal data you provide to Modash when you make use of the Site and the Services (“Your Data”), you act as an independent controller for the purposes of the GDPR, and Modash acts as your processor. You agree that:

(1) Taking into account the state of the art, the costs of implementation and the nature, scope, context and purposes of the processing as well as the risk of varying likelihood and severity for the rights and freedoms of natural persons, Modash will implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk. Modash는 귀하의 데이터와 관련된 개인정보 침해 사실을 인지한 후 부당한 지체 없이 귀하에게 통지합니다. Modash will ensure that all personnel authorized to process Your Data are subject to an obligation of confidentiality.

(2) You hereby authorize Modash to engage processors. Modash는 해당 처리자와 GDPR에서 요구하는 의무를 부과하는 서면 계약을 체결합니다. Modash will notify you of any intended change to its processors. 

(3) Taking into account the nature of the processing, and the information available to Modash, Modash will assist you, including, as appropriate, through implementing technical and organizational measures, with the fulfillment of your obligations under the GDPR to: comply with requests made by data subjects to exercise their rights; conduct data protection impact assessments, and prior consultations with supervisory authorities; notify supervisory authorities of personal data breaches. 

(4) If Modash transfers personal data to any country outside of the UK or the EEA, Modash will follow any necessary requirements according to the GDPR. 

(5) You may request the return of Your Data up to thirty (30) days after termination of your access to the Services in accordance with Section 11.

6.6. 귀하는 크리에이터의 개인정보를 공정하고 적법한 방식으로만 수집, 사용 및 공개하는 데 동의합니다. You will not use the personal data of the creators for any unlawful or unethical purposes, and will respect their reasonable expectation of privacy.

6.7. You are responsible for obtaining necessary consent from the creators before collecting and processing their data through Modash’s monitoring services.

6.8. 귀하가 본 약관을 위반하거나 불법적 또는 비윤리적인 행위를 하는 경우, Modash는 사전 통지 없이 언제든지 귀하의 서비스 이용을 종료할 권리를 보유합니다. Modash는 개인정보의 공정하고 적법한 처리를 매우 중요하게 여기며, 이러한 원칙 위반을 용납하지 않습니다.

7.1. Modash Payments 및 Modash API 서비스를 포함한 사이트 또는 서비스의 일부 기능에는 요금 또는 수수료가 부과됩니다(이하 “유료 서비스”). For use of such Charged Services you may purchase access to a plan (a “Subscription”) and other fees will apply for the use of Modash Payments as agreed separately.

7.2. 구독 플랜. 달리 명시되지 않는 한 모든 요금과 수수료는 USD로 표시됩니다. You agree to pay any applicable charges and fees associated with your use of the Charged Services either by upfront quarter payment for the entire value of Subscription or in monthly installments.

7.3. 요금 및 수수료가 부과되는 서비스 중 일부를 이용하려면 요청된 정보를 제공하고 해당 청구 절차를 따라야 합니다. 청구 절차는 귀하에 대한 사전 통지 없이 언제든지 변경될 수 있습니다. 결제 수단을 제공함으로써, 귀하는 제공한 결제 수단을 사용할 권한이 있으며 귀하가 제공한 정보가 진실하고 정확함을 진술합니다. Modash 계정은 매월 선불로 청구될 수 있으며 환불되지 않습니다. 유료 서비스의 부분 사용, 업그레이드 또는 다운그레이드, 미사용 기능, 또는 Modash의 통제 범위를 벗어난 사유로 인한 서비스 장애나 이용 불가에 대해서는 환불 또는 크레딧이 제공되지 않습니다. 모든 사람을 동등하게 대하기 위해 예외는 두지 않습니다. 서비스를 다운그레이드하면 콘텐츠나 기능이 손실될 수 있습니다. Modash는 이러한 손실에 대해 어떠한 책임도 지지 않습니다. Modash는 미납 시 귀하의 서비스 이용을 정지하거나 종료할 권리를 보유합니다. 월 단위로 구독을 구매한 경우, 어떠한 사유로든 구독이 종료되더라도 구독의 남은 미납 기간에 대해서는 계속 책임을 집니다. Modash may recover such payments due and in that case you will bear all the expenses related to such recovery or/and debt collection.

7.4. If you do not pay all charges or fees when due, then those amounts may accrue late interest at the rate of 1% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower.

7.5. 유료 서비스의 국가 및 통화 이용 가능 여부. Modash Payments (Modash Affiliates Payments 포함)와 같은 일부 서비스는 특정 국가에서만 이용할 수 있으며 일부 통화만 지원합니다. 지원 지역 및 결제 옵션 목록은 사이트에서 정기적으로 업데이트됩니다. 거래를 시작하기 전에 최신 정보는 사이트에서 확인하십시오. Please refer to the Site for the most up-to-date information on supported regions and payment options.

7.6. All subscriptions are automatically renewed at the end of each subscription period unless you cancel your subscription within the Modash Platform at least before the end of the current term for monthly plans, and 60 days prior the end of the current term for yearly plans. 이 기간 내에 취소하지 않으면 구독은 동일한 조건으로 다음 기간에도 유지됩니다.

8.1. 고객은 Modash Payments를 통해 제휴 마케팅 캠페인 관련 서비스를 포함한 승인된 크리에이터 서비스를 조달하고 결제할 수 있습니다. Modash Payments를 사용하는 경우, Modash는 해당 승인된 크리에이터 서비스의 구매 및 제공과 관련하여 자신의 명의로 거래합니다. Modash는 해당 크리에이터 서비스를 크리에이터로부터 구매한 후 별도로 고객에게 제공합니다. 고객은 해당 캠페인 약관에 따라 합의된 크리에이터 서비스의 모든 지식재산권을 취득합니다. 명확히 하자면, 위에서 설명한 Modash를 통한 크리에이터 서비스의 계약상 제공은 Modash가 해당 서비스의 지식재산권 소유권을 취득해야 함을 의미하지 않습니다. Any intellectual property rights agreed for the applicable campaign may pass directly from the Creator to the Customer.

8.2. Modash's obligation to pay for and complete the purchase of the applicable Creator Services is conditional upon: (i) the Customer having initiated a valid payment request through the Services; (ii) the applicable Creator Services having been approved in accordance with the applicable campaign terms; (iii) the Creator having submitted all required invoicing and payment information; (iv) the Customer having sufficient available funds; and (v) all applicable legal, compliance and operational requirements having been satisfied.

8.3. 고객은 자신의 계정을 통해 제출되는 모든 결제 요청, 결제 금액, 크리에이터 정보, 승인 및 결제 지침이 정확하고 완전하며 적절히 승인되었는지 확인할 책임이 있습니다. Modash may rely on any payment request, approval or instruction submitted through the Customer’s account by an authorized user and shall not be liable for acting in accordance with such request, approval or instruction, except to the extent resulting directly from Modash’s gross negligence or willful misconduct.

8.4. 오류, 중복 지시, 기술적 장애, 사기 또는 무단 활동으로 인해 지급이 이루어진 경우, Modash는 적용 법률이 허용하는 범위에서 해당 지급을 취소, 상계, 회수하거나 달리 정정할 수 있습니다. The Customer agrees to reasonably cooperate with Modash in investigating and resolving any such payment error.

8.5. Modash는 적용 법률, 세금 의무, 제재, 자금세탁방지(AML), 고객확인(KYC) 요건, 사기 방지 조치, 결제 제공업체 또는 금융기관의 요청을 준수하기 위해 합리적으로 필요한 경우, 또는 사기, 무단 활동, 부정확하거나 불완전한 정보 또는 본 약관 위반이 합리적으로 의심되는 경우 지급의 처리를 거절, 중단, 지연 또는 보류할 수 있습니다. Modash는 관련 문제가 해결된 후 합리적으로 가능한 한 빨리 지급을 처리합니다. Modash may suspend access to Modash Payments at any time where it reasonably believes continued access presents legal, financial, compliance or fraud risk.

8.6. Modash는 승인, 청구, 지급, 조정, 환불 및 분쟁 관련 요건을 포함하여 Modash Payments를 통해 처리되는 크리에이터 서비스에 대해 합리적인 운영 규정을 정하고 관리할 수 있습니다. Where a dispute arises in relation to Creator Services processed through Modash Payments, Modash may investigate the transaction and suspend, adjust, withhold or reverse the relevant payment where reasonably necessary to resolve the matter or comply with these Terms.

8.7. Modash는 Modash Payments를 통해 이용 가능한 결제 수단, 결제 제공업체, 지원 국가, 통화 및 지급 옵션을 정하며, 수시로 이를 추가, 삭제 또는 변경할 수 있습니다. Modash is not obliged to support any particular payment method, payment provider, country or currency requested by the Customer or a creator.

8.8. 지급 완료를 위해 환전이 필요한 경우, 거래 시점에 Modash의 결제 제공업체가 제공하는 환율로 환전됩니다. 크리에이터가 최종 수령하는 금액은 환율 변동, 환전 스프레드 또는 결제 제공업체나 금융기관이 적용하는 기타 외환 비용으로 인해 요청된 지급액과 다를 수 있습니다. Unless expressly stated otherwise, Modash does not charge an additional currency-conversion fee.

8.9. 지급은 외부 결제 제공업체, 은행, 환거래은행 및 기타 금융기관을 통해 처리될 수 있습니다. Modash does not guarantee any particular processing or settlement time and shall not be liable for delays, deductions or failures caused by such third parties, banking holidays, payment-network interruptions or circumstances beyond Modash’s reasonable control, except to the extent resulting directly from Modash’s gross negligence or willful misconduct.

8.10. 상기 내용을 제한하지 않고, Modash는 결제 시스템, 은행 네트워크, 제재 심사, 규제 또는 준법 검토, 사기 방지 조치 또는 불가항력 사건으로 인한 결제 처리의 지연, 중단 또는 실패에 대해 책임을 지지 않습니다. Where reasonably practicable, Modash will process the payment promptly once the relevant issue has been resolved.

8.11. Modash가 특정 책임을 서면으로 명시적으로 부담하는 경우를 제외하고, 고객은 Modash Payments의 이용, 크리에이터와의 협업 및 지급 지시가 고객 및 크리에이터와의 관계에 적용되는 세금, 고용, 제재 및 기타 법률 또는 규제 요건을 준수하도록 보장할 책임이 있습니다.

9.1. 귀하는 서비스 이용을 통해 수집·표시된 데이터/콘텐츠를 정보 제공 목적으로만 사용할 수 있습니다. 귀하는 해당 데이터/콘텐츠가 완전하지 않을 수 있음을 이해하고 인정합니다. Modash는 서비스를 통해 제공되는 데이터/콘텐츠의 정확성을 보장하지 않습니다. 본 약관에 명시된 경우를 제외하고 Modash가 생성한 데이터/콘텐츠를 사용하는 행위는 엄격히 금지됩니다. 또한 정부 규정 및/또는 관련 법률 준수로 인해 Modash가 특정 데이터/콘텐츠를 사용하거나 귀하에게 제공하지 못할 수 있습니다. Additionally, you agree that Modash’s Services and the data/content provided cannot be used for any purposes related to the Fair Credit Reporting Act (FCRA), including but not limited to determining eligibility for credit, insurance, employment, or other purposes governed by the FCRA.

9.2. 귀하는 서비스를 통해 수집·표시되는 데이터/콘텐츠가 타사 사이트의 이용 가능 여부에 좌우될 수 있으며, 해당 타사가 Modash의 데이터/콘텐츠 생성을 막을 수 있음을 인정합니다. Modash does not guarantee that the Services, or any content available via the Services, will always be available or be uninterrupted. 

9.3. 귀하는 해당 서비스의 정확성, 완전성 또는 무결성에 대한 의존을 포함하여 서비스와 관련된 모든 위험을 평가하고 부담하는 데 동의합니다. 귀하는 사이트 및 서비스를 이용함으로써 사이트와 서비스를 통해 제공되는 정보의 장점과 위험을 평가하고 Modash가 제공하는 서비스를 분석 도구로 효과적으로 활용할 수 있는 금융 및 사업 관련 지식과 경험을 보유하고 있음을 진술하고 보증합니다. You acknowledge that the Services are made available to you without any warranties or guarantees that the data/content provided is accurate, complete or up to date. 

9.4. You acknowledge that by accessing the Site, you may come into contact with content that you find harmful, offensive, threatening, indecent or objectionable and you acknowledge that Modash shall have no liability to you for the content including, but not limited to explicit language and other potentially offensive material.

9.5. You shall acknowledge Modash as the source of the data/content; if you use/show data/content from Modash online, you shall link to Modash website, place the Modash logo and credit the source as follows: “powered by Modash”.

9.6. 관련 법률이 허용하는 범위에서 Modash는 Modash 사이트 및 서비스와 이와 유사한 제품 및 서비스의 기능을 지원하고 개발하기 위해 귀하의 데이터를 사용할 수 있습니다. Modash는 Modash의 단독 재량으로 Modash 사이트 및 서비스의 운영 방식을 최적화, 개선 또는 향상하거나(API 사용이 규정을 준수하는지 모니터링 및 감사하기 위해), 새로운 기능을 만들기 위해 귀하의 Modash 사이트 및 서비스(Modash API 서비스 포함) 사용과 관련된 시스템 활동 데이터를 분석할 수도 있습니다. During or after the use of the Modash Site and Services by you, Modash may, and you hereby instruct Modash to, anonymize or aggregate Your Data and use such anonymized or aggregated data for any purpose.

9.7. Modash는 서비스 및 데이터에 관한 모든 권리, 소유권 및 이익을 보유합니다. 명확히 하기 위해, API 고객은 구독 한도를 준수하는 경우 API 및 데이터를 승인된 방식으로 사용하여 생성한 자체 파생 저작물, 통합, 애플리케이션, 대시보드, 보고서 또는 기타 결과물에 관한 모든 권리, 소유권 및 이익을 보유합니다. 본 약관의 어떠한 내용도 Modash의 지식재산권을 귀하에게, 또는 귀하의 파생 저작물의 소유권을 Modash에 이전하지 않습니다.

귀하는 위에 명시된 방식으로만 서비스를 이용할 수 있습니다. You are restricted from using the Service for any other usage, including:

10.1. 귀하는 요금제에 명시된 범위 내에서만 서비스를 이용할 수 있습니다. Your plan can be found at https://marketer.modash.io/billing/current-plan unless agreed upon separately.

10.2. Use of Charged Services without fulfilling payment responsibilities.

10.3. Use any means to modify or reroute the Service.

10.4. 귀하는 자동화된 데이터 추출을 위해 서비스 또는 사이트를 이용할 수 없습니다. 여기에는 다음이 포함되며 이에 한정되지 않습니다: 사이트 또는 서비스에서 데이터를 스크래핑, 크롤링, 스파이더링 또는 수집하는 행위; Modash가 의도적으로 제공하고 문서화한 기능, 한도 또는 채널을 벗어나 봇, 자동화 도구, 스크립트 또는 기타 프로그래밍 방식의 수단을 사용해 데이터를 대량으로 수집, 저장 또는 내보내는 행위(예: Modash API, 대량 내보내기 또는 기타 공식 기능 외의 오용); Modash의 승인된 API를 거치지 않은 자동화 사용을 나타내거나 허용된 API 요청 한도를 초과하는 양, 빈도 또는 패턴으로 웹 애플리케이션을 통해 검색 또는 요청을 수행하는 행위; Modash가 구현한 사용 제한, 요청 한도, 할당량 또는 기술적 제한을 우회하려는 시도. 이러한 모든 행위는 본 약관의 중대한 위반에 해당합니다. Modash reserves the right to immediately suspend or terminate your account and restrict access to the Services without notice if we detect automated scraping or similar prohibited activity.

10.5. 관련 법률 또는 귀하의 구독 요금제에서 명시적으로 허용하는 경우를 제외하고, 귀하는 서비스 또는 데이터의 어떠한 부분도 복제, 수정, 배포, 판매 또는 임대할 수 없으며, 소프트웨어를 리버스 엔지니어링하거나 소스 코드를 추출하려 시도할 수 없습니다. Customers with an active API subscription are expressly permitted to use the API and Data to create derivative works, integrations, dashboards, or other products, provided such use remains within the limits of their subscription plan.

10.6. 명시적으로 허용되는 경우를 제외하고, 귀하는 서비스 또는 데이터를 다른 당사자에게 재라이선스, 재판매 또는 재배포할 수 없습니다. Notwithstanding the foregoing, agencies and similar service providers with an active subscription may use the Services and Data in the ordinary course of delivering services to their own clients, provided that the agency remains the contracting party and user of record with Modash.

10.7. 서비스를 복제하거나 수정하고, 이를 바탕으로 파생 저작물을 만들거나, 리버스 엔지니어링 또는 리버스 어셈블하거나, 그 밖의 방식으로 소스 코드를 알아내려 시도하거나, 다른 당사자가 그렇게 하도록 허용하는 행위. Nothing in these Terms prevents API customers or agencies from building derivative products so long as such use complies with the terms of their subscription, including any applicable credit, rate, or usage limits.

10.8. Use the Services in any way that harms Modash, its affiliates, resellers, distributors, customers, service providers and/or suppliers, as determined by Modash in its sole discretion;

10.9. Use the Services in any manner that could damage, disable, overburden, or otherwise harm the Services and/or Site or interfere with any other party's use and enjoyment of the Services and/or Site;

10.10. Use any meta tags or any other "hidden text" utilizing Modash's name or trademarks without the prior written consent of Modash;

10.11. Modash의 사전 서면 동의 없이 프레임에 사이트를 표시하거나 사이트(또는 사이트 내 콘텐츠)를 표시하기 위한 기타 기술을 사용하는 행위;

10.12. 적용되는 제삼자 이용 약관 또는 기타 계약의 조항(콘텐츠를 특정 방식으로 이용하기 전 서면 허가를 받아야 하는 요건 포함)에 위배되는 방식으로 서비스를 이용하는 행위;

10.13. 서비스를 이용해 타인을 "스토킹"하거나 그 밖의 방식으로 괴롭히는 행위;

10.14. 허위 또는 오해의 소지가 있는 정보나 콘텐츠를 작성하기 위한 기술을 사용하는 행위;

10.15. 어떠한 방식으로든 미성년자에게 해를 끼치는 행위;

10.16. 미국 이민 및 국적법 제219조에 따라 미국 정부가 외국 테러 조직으로 지정한 조직에 물질적 지원 또는 자원을 제공하거나 (물질적 지원 또는 자원의 성격, 위치, 출처 또는 소유권을 은폐하거나 위장하는 행위를 포함) 하는 행위;

10.17. 저작권, 상표권, 특허권, 퍼블리시티권 또는 기타 재산권을 포함하되 이에 국한되지 않는 타인의 권리를 위반하거나 침해하는 방식으로 서비스를 이용하는 행위;

10.18. 서비스를 이용해 제삼자 서비스, 사용자 계정, 컴퓨터 시스템 또는 네트워크에 무단으로 접근하는 행위;

10.19. 다른 위치 또는 서비스를 통해 전송된 통신의 가명 회신 이메일, 우편 및/또는 팩스 주소(또는 기타 반송 주소)로 Modash의 도메인명이나 기타 연락처 정보를 사용하거나, 그 밖의 방식으로 Modash 또는 타인을 사칭하는 행위;

10.20. 방해 또는 남용 목적이나 사용 사례가 중복되도록 여러 토큰, 키 또는 비밀번호를 생성하는 행위. 토큰, 키 또는 비밀번호를 대량 생성하면 관련된 모든 토큰, 키 또는 비밀번호가 정지될 수 있습니다. 본 서비스 약관을 위반하면 모든 토큰, 키 또는 비밀번호가 영구 정지될 수 있음을 유의하시기 바랍니다.

10.21. 귀하는 한 사람에 대해 여러 계정 및/또는 프로모션 플랜이 개설된 것을 Modash가 발견하는 경우, Modash가 단독 재량으로 경고나 환불 없이 해당 계정 및/또는 프로모션 플랜을 해지할 수 있음을 인정하고 동의합니다.

귀하는 Modash에 귀하의 이름과 회사 로고를 고객 목록 및 웹사이트에 추가할 권리를 부여합니다. Modash는 기밀 또는 독점 정보가 공개되지 않는 한, 귀하의 회사에 관한 공개 정보를 바탕으로 사례 연구나 유사한 마케팅 자료를 작성하고 게시할 수도 있습니다. 전술한 경우를 제외하고, 어느 당사자도 상대방의 사전 서면 동의 없이 상대방의 이름, 로고 또는 기타 식별 정보를 사용할 수 없습니다.

12.1. 귀하는 사유 유무와 관계없이 언제든지 서비스를 취소할 수 있습니다. You understand and accept that by canceling the Services: (i) you may not receive a refund (except your balance for Modash Payments Services, which will be refunded after deduction of all fees (if applicable, including Modash Commission Fee, minimum Modash Payments Commission), interest for late payment etc.); (ii) you may be obligated to pay all charges due until the end of the Subscription; (iii) you may lose access to and use of your tokens, keys or passwords and any Services and credits contained therein.

12.2. 귀하는 Modash가 정당한 사유가 있는 경우 귀하에게 사전 통지 여부와 관계없이 키 또는 비밀번호를 해지할 수 있음을 인정하고 동의합니다. Cause for termination includes but is not limited to infringement or violation of the Terms, in particular but not limited to violation of Sections 6.6, 9.1 and 9.2 thereof, partial or complete discontinuance of the Services and/or Site, extended periods of inactivity, request to do so by law, and non-payment of fees or charges owed by you to Modash.

12.3. 취소 또는 해지 시 서비스에 대한 접근이 즉시 중단되며, 귀하의 토큰, 키 또는 비밀번호와 이에 포함된 모든 서비스가 삭제됩니다. All terminations are at the sole discretion of Modash, and you agree that Modash shall not be liable to you or any third party as a result of termination.

12.4. 어떠한 사유로든 본 계약이 해지되거나 만료되면, 본 계약에 따라 귀하에게 부여된 모든 라이선스 권리는 즉시 소멸하며, 귀하는 관련 법률에 따라 보관이 요구되거나 DPA에서 허용하는 경우를 제외하고 Modash로부터 받은 모든 데이터를 복구 불가능하게 삭제해야 합니다. 제6조부터 제10조, 제12조부터 제16조 및 위 제11.1(ii)항에 따른 수수료를 포함한 모든 해당 수수료 지급 의무는 어떠한 사유로 본 계약이 만료 또는 해지되더라도 유효하게 존속합니다.

15.1. Modash’s Limited Role and Responsibility
The Customer shall defend, indemnify and hold harmless Modash and its affiliates, officers, employees and agents from and against third-party claims, liabilities, damages, losses, costs and reasonable legal fees arising out of or relating to:
(i) the Customer’s campaign requirements, instructions or arrangements with a Creator, or any dispute relating to the Creator’s performance of the Creator Services;
(ii) the Customer’s payment requests, approvals or instructions;
(iii) the Customer’s breach of these Terms or applicable law; or
(iv) the Customer’s use of creator content, tracked content or creator data.

15.2. Limitation of Liability
The Customer shall defend, indemnify and hold harmless Modash, its affiliates, directors, officers, employees and agents from and against any third-party claims, damages, losses, liabilities, costs and reasonable legal fees arising out of or relating to:
(i) the Customer's use of the Services;
(ii) the Customer's use of Creator Data, Creator Content or Creator Services in violation of these Terms or applicable law;
(iii) the Customer's payment requests, approvals or payment instructions submitted through Modash Payments;
(iv) any dispute arising from or relating to the Creator’s performance or non-performance of the Creator Services, including compliance with the applicable campaign requirements; or
(v) the Customer's breach of these Terms or applicable law.You indemnify Modash against claims from the creators regarding tracked content or data.

15.3. Modash shall not be liable for:
(i) the campaign requirements, specifications, instructions or other commercial terms agreed in relation to the Creator Services;
(ii) the Creator’s acts or omissions in performing the Creator Services, including any failure to perform the Creator Services in accordance with the applicable campaign requirements;
(iii) payments initiated without sufficient funds in your balance;
(iv) creator actions that deviate from their obligations, including but not limited to failure to provide required invoicing, payment or compliance information, or the provision of inaccurate, incomplete, outdated or fraudulent information, delays, deductions or failures caused by payment providers, banks, correspondent banks, payment networks or other financial institutions;
(v) the accuracy of the third-party tracking, such as link click tracking and discount code usage, can be blocked or hindered by providers outside Modash’s control and this may impact the ability to measure affiliate performance accurately.

15.4. 서비스 및 사이트(관련 콘텐츠와 기능 포함)는 어떠한 종류의 보증도 없이 "있는 그대로" 및 “이용 가능한 상태로” 제공됩니다. In particular, but not limited to the following list, Modash is not liable for:
(i) Any interruptions, delays, server down-time, errors or omissions;
(ii) The performance or results you may obtain by using the Services or Site;
(iii) Merchantability, fitness for a particular purpose, reliability of the Services or Site and that these will meet your requirements;
(iv) Inaccurate data and unavailability of third-party data (regardless whether accessed via the API or otherwise);
(v) Third-party tracking limitations and API changes due to third-party platform updates (e.g. social media APIs);
(vi) Disputes relating to the Creator’s performance or non-performance of Creator Services.

15.5. 관련 법률이 허용하는 최대 범위 내에서, 본 약관 또는 서비스로 인해 발생하거나 이와 관련된 Modash의 총 책임은 청구를 발생시킨 사건 전 십이(12)개월 동안 고객이 Modash에 실제로 지급한 총 수수료를 초과하지 않습니다. Modash는 그러한 손해의 가능성을 통지받았더라도, 일실이익, 수익 손실, 사업 기회 상실, 영업권 손실 또는 데이터 손실을 포함한 간접적, 부수적, 결과적, 특별, 예시적 또는 징벌적 손해에 대해 어떠한 경우에도 책임을 지지 않습니다.

16.1. Use of the Modash Site and Services is not authorized in any jurisdiction that does not give effect to all provisions of these Terms, including without limitation, this Section.

16.2. Governing Law: the laws of Estonia as the governing law, without giving effect to any principles of conflicts of law.

16.3. 관할권: 본 약관의 체결, 유효성, 위반 또는 해지를 포함하되 이에 국한되지 않고 본 약관, Modash 사이트 및 서비스로부터 발생하거나 이와 관련된 분쟁, 논쟁 또는 청구가 있는 경우, 당사자들은 상호 협상을 통해 우호적으로 해결하도록 노력합니다. 합리적인 기간 내에 상호 수용 가능한 해결에 도달하지 못하는 경우, 어느 당사자든 본 약관에 따른 법적 구제를 포함한 모든 이용 가능한 구제수단을 청구할 수 있습니다. 당사자 간 우호적 합의가 불가능한 경우, 분쟁은 에스토니아 탈린 소재 하르유 지방법원의 전속 관할에 따라 최종 해결됩니다.

17.1. “Confidential Information” means all information disclosed by a Party (“Disclosing Party”) to the other Party (“Receiving Party”), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and/or the circumstances of disclosure. 귀하의 기밀 정보에는 귀하가 Modash 서비스 또는 사이트를 통해 처리하는 모든 정보가 포함되며, Modash의 기밀 정보에는 Modash 서비스 및 사이트(결제 및 제휴 프로그램 포함)가 포함됩니다. 각 당사자의 기밀 정보에는 해당 당사자가 공개한 사업 및 마케팅 계획, 기술 및 기술 정보, 제품 계획 및 설계, 그리고 사업 프로세스가 포함됩니다. However, Confidential Information does not include any information that (i) is or becomes generally available to the public without breach of any obligation owed to the Disclosing Party, (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party, (iii) is received from a third party without knowledge of any breach of any obligation owed to the Disclosing Party, or (iv) was independently developed by the Receiving Party.

17.2. The Receiving Party will use the same degree of care that it uses to protect the confidentiality of its own confidential information (but not less than reasonable care) to (i) not use any Confidential Information of the Disclosing Party for any purpose outside the scope of these Terms and (ii) except as otherwise authorized by the Disclosing Party in writing, limit access to Confidential Information of the Disclosing Party to those of its employees and contractors who need that access for purposes consistent with these Terms and who have signed confidentiality agreements with the Receiving Party containing protections of the Confidential Information to those herein.
